Above-named client Park’nSell (referred to hereinafter as “Client”) has engaged Brian Taylor (hereinafter "BT") for the specific purpose of developing http://ParknSell.net, which will be similar in content to http://JaysKirklandAutocare.com, and more advanced than http://AeroRentaCar.com, and will contain approximately 25 pages – as outlined below.

SERVICES RENDERED.  BT agrees to perform the following web site design services consisting of following pages:

SEARCH ENGINE KEYWORDS.  Client to supply BT with a list Client’s most important 2-3 keyword-phrases that web surfers will most likely use find http://ParknSell.net.  Keyword-Phrases must be listed in order of importance, with 1st being most important, i.e.: cargo vans, cargo vans for sale, Woodinville, Auburn, vans, trucks, etc.  Client will need to go to my http://briantaylor.com/MetaTagGenerator.htm in order to submit this vital data to me.

COST.  Notwithstanding any prices listed in literature or on any of BT’s web pages, Client and BT agree that the services described in this contract shall be completed for $1,500, payable to “Brian Taylor.”

PAYMENT.  Client agrees to pay BT 50% down for the initial $750 deposit of upon execution of this Agreement. Remaining 50% of $750 due and payable upon satisfactory completion of web site development as agreed to herein.

PERFORMANCE.  BT to submit a First Draft of web site no later than twenty (20) days after BT receives this mutually signed agreement, along with initial deposit. Client to provide BT with all the data BT needs to complete web site, including text, company logo, photos. BT to provide the completed web site within forty-five (45) days from start date.

WEB SITE DESIGN STANDARDS.  All services described herein are to be performed by BT in accordance with the most commonly accepted standards and practices of the Web Services Industry.  That is to say, BT will use web site design technologies that are most universally acceptable in order to satisfy the broadest web market possible - meaning your web site will look and act the same on over 95% of all web browsers (versions 4.0+ of Netscape & Microsoft, even with different monitor display sizes of 800x600 on upwards to 1024x768 pixels).

HOSTING.  Client has option to host site with BT’s web site hosting partner http://www.1stAve.com. Rates are $15 per month. Hosting includes the most advanced web site statistics available today, provided by http://MediaHouse.com.

ADDITIONAL SERVICES.  The terms and conditions set forth in this document constitutes the sole agreement between BT and the Client regarding this web site. Any additional work not specified in this contract must be authorized in writing. Should the Client desire additional web pages beyond what is specified above, then Client agrees to pay BT an additional $65 per hour.

WARRANTIES AND LIABILITY.  BT does not warrant the functions of site will meet Client's expectations of site traffic or resulting business. In no event will BT or its sub-contractors be liable to Client or any third party for any damages, including any lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate these web pages, even if BT has been advised of the possibility of such damages.

CANCELLATION.  In the event of cancellation of this Agreement after deposit has been made, and BT has already started working on site, then Client forfeits 50% of initial deposit.

TRADEMARKS & COPYRIGHTS.  Client represents to BT and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to BT for inclusion in web pages are owned by the Client, or Client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend BT from any claim or suit arising from the use of such elements furnished by the Client.  Copyright to the assembled work of web pages produced by BT is initially owned by BT.  Upon final payment of this contract, all rights owned by BT as to the design, graphics, and text in this web site transfer to the Client.

WEBMASTER CREDITS.  For a minimum of 1 year, or as long as BT is webmaster, Client hereby agrees to:

1. Allow BT to display a small “webmaster” hypertext link in footer of http://ParknSell.net, that is linked to BrianTaylor.com, said link to open a new browser window, so you don’t loose your web clients; and

2. Not to remove any web author Meta-Tags in page source code that refer to BT as the Client’s web site developer, see http://www.briantaylor.com/MetaTags.htm for more info on meta tags.

LITIGATION.  Any disputes arising from this contract will be litigated or arbitrated in King County, Washington.  This Agreement shall be governed and construed in accordance with the laws of Washington State.  The undersigned hereby agree to the terms, conditions and stipulations of this agreement on behalf of his or her organization.  This Agreement constitutes the entire understanding of the parties.  Any changes or modifications thereto must be in writing and signed by both parties.
